1. Agreement to Terms
By engaging Low-IP, LLC for services, signing a service agreement, or using this website, you agree to be bound by these Terms of Service. If you do not agree, do not engage our services. These terms govern all service relationships between Low-IP, LLC and its clients, unless superseded by a separately executed written agreement.
2. Services
Low-IP, LLC provides managed IT services, network infrastructure, cybersecurity, VPN deployment, CCTV and access control, low-voltage systems, AI infrastructure, private email server hosting, IT consulting, and related technology services to businesses and organizations. The specific scope of services delivered to each client is defined in the applicable Statement of Work (SOW), Service Agreement, or written proposal.
Low-IP, LLC reserves the right to modify, suspend, or discontinue any service offering with reasonable advance notice. Service modifications that affect active contracts will be communicated in writing.
3. Payment Terms
Invoices are due upon the terms specified in your service agreement (typically Net 15 or Net 30 from invoice date). Recurring managed service fees are billed monthly in advance. Project-based and on-demand services are billed upon completion or at milestones as specified in the project agreement.
Late payments may be subject to a 1.5% monthly finance charge. Low-IP, LLC reserves the right to suspend services for accounts more than 30 days past due, with 10 days written notice. All fees are non-refundable unless otherwise specified in a written agreement.
Prices are subject to change with 30 days written notice for ongoing service agreements.
4. Client Responsibilities
Clients agree to: (a) provide accurate and complete information necessary to deliver services; (b) grant authorized access to systems, facilities, and personnel required for service delivery; (c) designate a primary point of contact; (d) maintain current and valid payment information; and (e) comply with all applicable laws and regulations in connection with their use of Low-IP services.
Clients are responsible for maintaining adequate data backups unless backup services are specifically contracted with Low-IP, LLC. Low-IP is not responsible for data loss that occurs outside the scope of contracted backup services.
5. Acceptable Use
Services provided by Low-IP, LLC may only be used for lawful purposes. Clients may not use Low-IP infrastructure, networks, or services to: engage in illegal activities; transmit malware, spam, or unauthorized communications; infringe on intellectual property rights; violate the privacy or rights of others; or conduct unauthorized network scanning or penetration activities against third-party systems.
Violation of acceptable use policies may result in immediate service suspension and termination of the client relationship without refund.
6. Confidentiality
Both parties agree to keep confidential all proprietary, technical, and business information exchanged in the course of the service relationship. Low-IP, LLC does not disclose client information, infrastructure details, credentials, network configurations, or business data to any third party. This obligation survives termination of the service agreement.
Clients agree not to disclose Low-IP proprietary methodologies, pricing structures, or internal processes without written consent.
7. HIPAA and Regulated Data
When Low-IP, LLC provides services to covered entities or business associates under HIPAA, we operate as a Business Associate and will execute a Business Associate Agreement (BAA) as required. We maintain technical, physical, and administrative safeguards consistent with HIPAA Security Rule requirements.
Clients in regulated industries are responsible for ensuring their own compliance obligations are met and for notifying Low-IP of any applicable regulatory requirements at the outset of the engagement.
8. Limitation of Liability
Low-IP, LLC shall not be liable for any indirect, incidental, consequential, or punitive damages arising from service interruptions, data loss, or security incidents outside the scope of contracted services or beyond our reasonable control. Our total liability to any client shall not exceed the fees paid by that client in the three months preceding the event giving rise to the claim.
Low-IP, LLC is not responsible for third-party hardware or software failures, internet service provider outages, acts of nature, or security incidents resulting from client failure to implement recommended security measures.
9. Term and Termination
Service agreements commence on the date specified in the applicable agreement and continue for the agreed term. Month-to-month agreements may be terminated by either party with 30 days written notice. Annual or multi-year agreements may have different termination provisions as specified in the agreement.
Low-IP, LLC may terminate a service agreement immediately for: non-payment, material breach, violation of acceptable use policy, or conduct that poses a risk to our systems or other clients. Upon termination, all outstanding fees become immediately due.
10. Intellectual Property
All methodologies, tools, scripts, automation systems, and proprietary processes developed by Low-IP, LLC remain the intellectual property of Low-IP, LLC, unless otherwise agreed in writing. Client-owned systems, data, and configurations remain the property of the client. Custom development work created exclusively for a client may be transferred to the client upon full payment as specified in the project agreement.
11. Governing Law and Disputes
These Terms of Service are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these terms or our service relationship shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Alameda County, California, under the rules of the American Arbitration Association.
12. Changes to These Terms
Low-IP, LLC reserves the right to update these Terms of Service. Material changes will be communicated to active clients with 30 days notice. Continued use of our services following notification constitutes acceptance of the updated terms.
